1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your use of the website at https://pixelquest.lk and the engagement of any services provided by Pixel Quest (Pvt) Ltd. ("Pixel Quest", "we", "us", or "our"), a company registered in Sri Lanka.
By accessing our website, submitting an enquiry, or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.
These Terms apply to all visitors, clients, and others who access or use our website and services.
2. Services
Pixel Quest provides the following IT and digital services:
• Web design and development
• UI/UX design
• Graphic design
• Branding and identity
• Social media marketing
• Video content creation
• Web hosting and professional email
• SEO and analytics
• IT and marketing consultation

The specific scope, deliverables, timeline, and pricing of any service engagement will be set out in a separate proposal, quotation, or service agreement issued by Pixel Quest. In the event of any conflict between these Terms and a specific service agreement, the service agreement shall take precedence.
3. Quotations and Proposals
3.1 All quotations and proposals issued by Pixel Quest are valid for 30 days from the date of issue, unless otherwise specified in writing.
3.2 Quotations are based on the project brief and information provided by the client at the time of enquiry. Any changes to the scope of work after a quotation has been accepted may result in revised pricing, which will be communicated to the client before additional work begins.
3.3 Acceptance of a quotation whether in writing, by email, or via payment of a deposit constitutes a binding agreement between the client and Pixel Quest, subject to these Terms.
4. Payment Terms
4.1 Project Based Services
For one time project engagements, the following payment structure applies unless otherwise agreed in writing:
• 50% deposit required before project commencement
• 50% balance due upon project completion and before final file delivery or website launch

4.2 Monthly Retainer Services
For ongoing monthly services (including social media management, SEO, hosting, and maintenance plans):
• Payment is due in advance at the beginning of each billing period
• A minimum commitment period of 3 months applies unless otherwise agreed in writing
• Monthly services will continue until cancelled in accordance with Clause 12

4.3 Payment Methods
Pixel Quest accepts payment via bank transfer, online payment, and other methods as agreed with the client. All bank charges or transaction fees associated with international transfers are the responsibility of the client.

4.4 Late Payment
Invoices are due within 7 days of the invoice date unless otherwise specified. Pixel Quest reserves the right to:
• Suspend work or services on accounts with outstanding invoices
• Charge interest on overdue amounts at a rate of 2% per month
• Withhold delivery of final files or website access until payment is received in full

4.5 Pricing Currency
Pricing for clients in Sri Lanka is quoted in Sri Lankan Rupees (LKR). Pricing for international clients is quoted in United States Dollars (USD) or as otherwise agreed. Pixel Quest reserves the right to adjust pricing for international clients based on exchange rate fluctuations for ongoing services.
5. Project Process and Client Responsibilities
5.1 To enable Pixel Quest to deliver services effectively, the client agrees to:
• Provide accurate, complete, and timely information, content, and materials required for the project
• Respond to requests for feedback, approvals, and sign offs within agreed timeframes
• Designate an authorised point of contact for the project
• Provide timely access to required accounts, systems, or platforms

5.2 Delays caused by the client's failure to provide required information, content, or approvals may result in revised project timelines. Pixel Quest will communicate any timeline adjustments as soon as possible.
5.3 If a project is placed on hold by the client for a period exceeding 30 days, Pixel Quest reserves the right to invoice for work completed to date and to schedule the remaining work subject to team availability.
6. Revisions and Scope of Work
6.1 The number of revision rounds included in each project or service is as specified in the relevant proposal or service agreement.
6.2 A revision is defined as a reasonable modification to work already presented. A revision does not include:
• Fundamental changes to the creative direction or brief
• New features, pages, or deliverables not included in the original scope
• Content changes that affect design layout or structure significantly

6.3 Requests that fall outside the agreed scope will be quoted separately as additional work. No out of scope work will be commenced without the client's written approval of the additional cost and timeline.
7. Timelines and Delivery
7.1 Pixel Quest will provide estimated timelines for project delivery. These timelines are estimates and may be affected by the timely provision of content, feedback, and approvals by the client.
7.2 Pixel Quest will communicate proactively if any factor arises that may affect the agreed timeline.
7.3 Pixel Quest is not liable for delays caused by factors outside its reasonable control, including but not limited to client delays, third party platform changes, or force majeure events.
8. Intellectual Property
8.1 Ownership of Final Deliverables
Upon receipt of full payment, Pixel Quest assigns to the client all intellectual property rights in the final deliverables produced specifically for the client's project, including logo designs, website layouts, and custom graphic designs.

8.2 Ownership of Tools and Underlying Assets
Pixel Quest retains ownership of:
• All tools, frameworks, code libraries, and pre existing materials used in the creation of deliverables
• Working files, drafts, and concepts not selected by the client
• Internal processes, templates, and proprietary methodologies

8.3 Third-Party Assets
Where third party assets are used in deliverables including stock photography, licensed fonts, icon libraries, or software the client is responsible for ensuring they have appropriate licences for their intended use. Pixel Quest will advise on any licensing requirements where known.

8.4 Portfolio Rights
Pixel Quest reserves the right to display completed work in its portfolio, on its website, and across its social media channels, unless the client requests in writing that the project remain confidential prior to commencement.

9. Confidentiality
9.1 Both parties agree to keep confidential any non public information disclosed in connection with a project or service engagement, including business strategies, pricing, client data, and technical information.
9.2 Pixel Quest will not disclose client information to third parties except as required to deliver the agreed services, as required by law, or with the client's prior written consent.
9.3 Team members of Pixel Quest are bound by confidentiality obligations and are not permitted to disclose client information to any party outside of Pixel Quest.
9.4 This confidentiality obligation survives the termination of any service agreement or engagement with Pixel Quest.
10. Web Hosting Services
Where Pixel Quest provides web hosting services, the following additional terms apply:
• Hosting services are provided subject to fair use excessive resource consumption that affects other users may result in service suspension
• Pixel Quest performs daily automated backups but does not guarantee recovery in all circumstances. Clients are encouraged to maintain their own backup copies of critical data
• Pixel Quest targets a 99.9% uptime rate but does not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible
• Clients are responsible for keeping their website software, plugins, and themes updated where Pixel Quest is not engaged for maintenance services
• Pixel Quest reserves the right to suspend hosting accounts that contain illegal content, malware, or content that violates applicable laws
11. Social Media and Marketing Services
Where Pixel Quest provides social media marketing, SEO, or digital advertising services:
• The client grants Pixel Quest permission to access, manage, and publish content on their designated social media accounts and advertising platforms
• The client is responsible for all advertising spend billed directly through platform accounts. Pixel Quest does not mark up ad spend
• Pixel Quest will use reasonable skill and care in delivering marketing services but does not guarantee specific results, follower counts, rankings, or revenue outcomes digital marketing results are inherently subject to algorithm changes and market conditions
• The client must ensure they hold appropriate rights to any content, images, or materials they provide to Pixel Quest for use in marketing campaigns
12. Cancellation and Termination
12.1 Cancellation by the Client
The client may cancel a project or service engagement by providing written notice to Pixel Quest. The following applies upon cancellation:
• Any deposit paid is non refundable
• Work completed to the date of cancellation will be invoiced at the pro-rata rate of the agreed project fee
• For monthly retainer services, cancellation requires 30 days written notice. Services and billing will continue during the notice period

12.2 Termination by Pixel Quest
Pixel Quest reserves the right to terminate a service engagement with immediate effect if:
• The client fails to make payment within the agreed terms after written notice
• The client requests work that is illegal, fraudulent, or in violation of applicable laws
• The client engages in conduct that is abusive, threatening, or harmful to Pixel Quest team members
• The client provides false or misleading information that materially affects the project

In the event of termination by Pixel Quest, work completed to the date of termination will be invoiced, and any outstanding amounts will become immediately due and payable.
13. Limitation of Liability
13.1 To the maximum extent permitted by applicable law, Pixel Quest's total liability to the client for any claim arising out of or in connection with the provision of services shall not exceed the total fees paid by the client for the specific service giving rise to the claim in the preceding 3 months.
13.2 Pixel Quest shall not be liable for:
• Any indirect, consequential, special, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from the client's failure to provide accurate information or timely approvals
• Third party platform changes, outages, or policy changes that affect the delivery or performance of services
• Any loss or damage resulting from unauthorised access to client accounts or data outside Pixel Quest's reasonable control
14. Warranties and Representations
14.1 Pixel Quest warrants that:
• Services will be delivered with reasonable care and skill
• Deliverables will be original work unless third party assets are explicitly identified
• We have the right to provide the services described

14.2 The client warrants that:
• They have the authority to enter into a service agreement with Pixel Quest
• All materials, content, and information provided to Pixel Quest are accurate and do not infringe the intellectual property rights of any third party
• The intended use of Pixel Quest's deliverables is lawful
15. Indemnification
The client agrees to indemnify, defend, and hold harmless Pixel Quest (Pvt) Ltd. and its directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
• The client's breach of these Terms
• Content or materials provided by the client that infringe the rights of a third party
• The client's use of deliverables in a manner not authorised by Pixel Quest
• Any illegal or fraudulent activity by the client
16. Force Majeure
Pixel Quest shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, power outages, internet disruptions, pandemics, or civil unrest. Pixel Quest will notify the client as soon as reasonably practicable of any such event and its likely duration.
17. Governing Law and Dispute Resolution
17.1 These Terms are governed by and construed in accordance with the laws of Sri Lanka.
17.2 In the event of a dispute arising out of or in connection with these Terms or any service engagement, the parties agree to first attempt to resolve the matter through good faith negotiation.
17.3 If the dispute cannot be resolved through negotiation within 30 days, either party may refer the matter to the courts of Sri Lanka, which shall have exclusive jurisdiction over any such dispute.
18. Amendments
Pixel Quest reserves the right to update or amend these Terms and Conditions at any time. Updated Terms will be published on our website with a revised effective date. Your continued use of our website or services after any changes constitutes your acceptance of the updated Terms. For active service engagements, material changes will be communicated directly to affected clients.
19. Entire Agreement
These Terms, together with any proposal, quotation, or service agreement issued by Pixel Quest, constitute the entire agreement between the parties with respect to the subject matter and supersede all prior discussions, representations, and agreements, whether oral or written.
20. Severability
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect.
21. Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of that term or any other term. Pixel Quest's failure to assert any right or provision under these Terms shall not constitute a waiver of that right or provision.
